These Terms and Conditions ("Terms") govern your access to and use of the website at amnoy.in, the Amnoy Digital Signature API, and the security and compliance services (together, the "Services") provided by Amnoy Technology ("Amnoy", "we", "us" or "our"). By accessing the website or using the Services, you agree to these Terms. If you are accepting on behalf of an organisation, you confirm you have authority to bind it.

1. Definitions

• "Customer", "you" — the person or organisation using the Services.
• "API" — the Amnoy Digital Signature API and related interfaces, documentation and credentials.
• "DSC" — a Digital Signature Certificate issued by a licensed Certifying Authority under the IT Act, 2000.
• "Content" — documents, data and material you submit to or sign through the Services.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are intended for business and professional use.

3. The Services

Amnoy provides software that enables legally valid signing of PDF, Word, Excel and text files using DSCs, along with infrastructure security and compliance services. We may add, modify or discontinue features over time. Where a change materially reduces core functionality of a paid plan, we will give reasonable notice.

4. Accounts and API keys

• You are responsible for the accuracy of your account information and for all activity that occurs under your account and API keys.
• Keep API keys and credentials confidential. Notify us promptly of any suspected unauthorised use.
• We may rotate, suspend or revoke credentials where necessary to protect the security or integrity of the Services.

5. Digital signatures and legal validity

Signatures created through the API using a valid DSC are intended to be legally valid electronic signatures under the IT Act, 2000. You are responsible for:

• Holding and using a valid, unexpired DSC issued by a licensed Certifying Authority.
• Having the authority to sign each document you submit and ensuring the signatory's consent.
• Safeguarding your USB token, PIN and private key — which remain solely in your control.

Amnoy provides the signing mechanism but does not verify the legal authority behind, or the lawful purpose of, any document you choose to sign.

6. Acceptable use

You agree not to:

• Use the Services for any unlawful, fraudulent or infringing purpose, or to sign documents you are not authorised to sign.
• Attempt to gain unauthorised access to, disrupt, reverse-engineer, or probe the Services or their infrastructure except as expressly permitted by law.
• Exceed rate limits, circumvent usage metering, or resell the Services without our written agreement.
• Upload malware or content that violates the rights of others or applicable law.

7. Fees and billing

• Paid usage is billed on a pay-as-you-use basis (for example, per file or text signing) or under an agreed plan, as set out on our pricing page or in your order.
• Fees are exclusive of applicable taxes (including GST), which you are responsible for.
• Invoices are payable within the period stated. We may suspend access for overdue amounts after reasonable notice.
• Except where required by law, fees already incurred for usage are non-refundable.

8. Service availability

We work to keep the Services available and reliable, but except where a separate service-level agreement is in place, the Services are provided on a reasonable-efforts basis. We may carry out maintenance, and may suspend the Services where needed to protect security or integrity.

9. Intellectual property

The Services, software, documentation and brand are owned by Amnoy or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. You retain all rights in your Content; you grant us the limited right to process it solely to provide the Services.

10. Confidentiality

Each party will protect the other's confidential information and use it only as needed to perform under these Terms. This does not apply to information that is public, independently developed, or required to be disclosed by law.

11. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that they meet every regulatory requirement applicable to your specific use.

12. Limitation of liability

To the maximum extent permitted by law, Amnoy will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to us for the Services in the three (3) months preceding the event giving rise to the claim.

13. Indemnity

You agree to indemnify and hold Amnoy harmless from claims, losses and expenses arising out of your Content, your use of the Services in breach of these Terms, or your violation of any law or third-party right.

14. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access for material breach of these Terms, non-payment, or where required to protect the Services or comply with law. On termination, your right to use the Services ends; provisions that by their nature should survive (such as fees due, confidentiality, IP, disclaimers and liability) will survive.

15. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to any agreed dispute-resolution mechanism, the courts at [City], India will have exclusive jurisdiction over disputes arising out of or relating to these Terms.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with a revised "Last updated" date. Continued use of the Services after a change indicates acceptance of the updated Terms.
